These Terms of Service ("Terms") are a binding agreement between Nuevopay Ltd ("NuevoPay", "we", "us") and the business or individual that accesses or uses our websites, dashboard, APIs, and payment services (the "Services"). By creating an account or using the Services, you agree to these Terms. If you are accepting on behalf of an organisation, you represent that you are authorised to bind it.
1. Definitions
"Account" means your NuevoPay account. "End User" means your customers or recipients with whom you transact. "Collections" means inbound payments you accept. "Payouts" means disbursements you send. "Withdrawals" means transfers of your available balance. "Operator" means a mobile-money provider, bank, or processor used to move funds.
2. Eligibility & accounts
You must be a lawfully registered business (or an authorised representative of one) to use the Services. You agree to provide accurate, complete information and to keep it current. We may verify your business, directors, and beneficial owners (KYB/KYC) and may decline, suspend, or limit access at our discretion where verification is incomplete or risk concerns arise.
Live access & verification
New accounts begin in a pending state with access to test functionality only. Live access is enabled only after your business passes verification and is approved. We may re-verify at any time and may request additional information.
3. The Services
NuevoPay enables you to accept Collections, send Payouts, and make Withdrawals across supported markets and Operators through a single integration. Availability of specific markets, currencies, and Operators may change. We provide the technical means to instruct payments; settlement is performed by Operators and is subject to their systems and timelines.
4. Fees & settlement
You agree to pay the fees applicable to your account, which may vary by transaction type, market, currency, and Operator. We may deduct fees from transaction amounts or your balance. Fees are exclusive of taxes unless stated; you are responsible for applicable taxes. We may change fees on reasonable notice. Funds are settled to your balance and may be withdrawn subject to verification, available balance, holds, and Operator constraints.
5. Your obligations & acceptable use
You agree to use the Services only for lawful business purposes and in compliance with all applicable laws, Operator rules, and our policies. You will not, and will not permit others to:
- Use the Services for any illegal, fraudulent, or deceptive activity, or for prohibited or restricted businesses;
- Facilitate money laundering, terrorist financing, or transactions involving sanctioned persons or jurisdictions;
- Misrepresent your identity, your business, or the nature of a transaction;
- Circumvent security, interfere with the Services, or attempt unauthorised access;
- Use the Services in a way that exposes NuevoPay or an Operator to undue risk or liability.
You are responsible for your End Users, for the legality of the underlying transactions, and for providing required notices and obtaining required consents from your End Users.
6. Compliance & screening
We are subject to anti-money-laundering, counter-terrorist-financing, sanctions, and other regulatory obligations. You agree to cooperate with our compliance requests, and you acknowledge that we may screen, monitor, hold, delay, reject, or report transactions, and freeze or close accounts, where required by law or where we reasonably suspect prohibited activity.
7. Third-party Operators
Collections, Payouts, and Withdrawals are executed through Operators that are independent third parties. We are not responsible for Operator outages, errors, timelines, or for funds while held by an Operator, except to the extent required by law. Operator terms may apply to certain transactions.
8. Refunds, reversals & disputes
Reversals, refunds, and chargebacks are handled according to Operator rules and applicable law. You are responsible for resolving disputes with your End Users and for amounts reversed, refunded, or charged back, together with any related fees. We may debit your balance or invoice you for such amounts.
9. Intellectual property
NuevoPay and its licensors own all rights in the Services, including software, APIs, documentation, and trademarks. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services per these Terms. You retain rights to your own data and content; you grant us the rights needed to operate the Services and meet our obligations.
10. Confidentiality & data
Each party will protect the other's confidential information. Our handling of personal data is described in our Privacy Policy. Where we process personal data on your behalf, you are the controller and we act on your documented instructions consistent with applicable law.
11. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or secure.
12. Limitation of liability
To the maximum extent permitted by law, NuevoPay will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the fees you paid to us in the [three] months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless NuevoPay and its affiliates from claims, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your transactions and End Users, or your breach of these Terms or applicable law.
14. Suspension & termination
You may close your account at any time. We may suspend or terminate access, with or without notice, if you breach these Terms, present legal or fraud risk, or where required by law or an Operator. On termination, your right to use the Services ceases; provisions that by their nature should survive (including fees owed, liability, and indemnities) will survive. Funds will be handled subject to verification, holds, and applicable law.
15. Changes to the Services or Terms
We may modify the Services and these Terms from time to time. We will update the "Last updated" date and, for material changes, provide reasonable notice. Your continued use after changes take effect constitutes acceptance.
16. Governing law & disputes
These Terms are governed by the laws of Rwanda, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts of Rwanda, unless otherwise required by applicable law or agreed in writing.
